Software Guidance & Assistance, Inc., (SGA), is searching for a Paralegal for a Contract assignment with one of our premier Insurance Services clients in Whippany, NJ. This is a Hybrid role, 3 days onsite required!

We are seeking an experienced paralegal to join the in-house Legal Services Team of paralegals and administrative associates to support our client's Legal Affairs department and work closely with our Investments attorneys. This paralegal position will support attorneys and professionals across the Law Department, including our Products, Distribution and Operations; and Fixed Income & Alternatives/Agriculture/Derivatives Investments Practice Groups. This self-motivated paralegal will aid with a wide range of activities and primarily support the Products, Distribution and Operations legal team and Business Partners, and Legal Services Team initiatives. We expect that this role will support workflow for many of the asset classes supported by our client's Investment Management; and in particular, all fund activities, maintenance of the documents portal, including operating agreements (e.g., investment management agreements, participation agreements and note purchase agreements) and coordination for regulatory, auditing, compliance and business practices reporting. The successful candidate will possess excellent legal research and legal systems proficiencies with strong attention to detail, highly adaptable, display legal acumen and good judgment. Ability to identify trends and opportunities to develop strategies and implement solutions to improve tools, systems and processes. Reports to an on-site attorney and an off-site manager of paralegals.

Responsibilities :
  • Coordinate and manage corporate transaction milestone tracking from beginning to end, including due diligence, transaction documentation, and post-closing matters.
  • Real estate or corporate experience reviewing and revising non-disclosure agreements including assisting with negotiations, satisfactions and releases.
  • Coordinates and prepares for periodic audits and business reporting.
  • Corporate entity governance and maintenance; responsible for preparation of board meeting agendas and minutes.
  • Maintain master list of registered entities and Authorized signatories.
  • Ability to execute legal research under direction of attorney - locating and providing statutes or case law citations.
  • Support logistics and prepare deliverables for closings and portfolio management in various asset classes.
  • Prepare redlines electronically and manually when needed.
  • Respond to requests from business clients, external counsel, external examiners, government agencies and regulatory authorities.

Required Skills:
  • 5-10 years of paralegal experience, preferably in corporate law/real estate/finance.
  • Ability to independently perform various aspects of research and analysis with minimal supervision.
  • Highly motivated; adaptable to shifting demands and tight deadlines maintaining composure.
  • Excellent written and verbal communications with ability to translate messaging clearly and succinctly.
  • Demonstrated strong attention to detail, excellent organization, time management, project prioritization, heavy document review, and proofreading skills.
  • Unquestionable ethical and professional judgment; as well as the ability to work with confidential documents and information.
  • Strong analytical and problem-solving skills.
  • Ability and desire to collaborate with diverse personalities on-site and in a virtual team environment.
  • Strong interpersonal skills with high degree of Emotional Intelligence to maintain positive working relationships.
  • Accountable for work and own professional development by actively seeking feedback to continuously refine, develop, and expand skills in anticipation of work environment and role progression.
  • Interest in strategic knowledge sharing, process analysis, continuous improvement and coaching of junior paralegals.
  • Highly versed with technology, works optimally in fast-paced environment.
  • High proficiency in Microsoft 365.
Preferred Skills:
  • Paralegal certificate and/or college degree preferred.
  • Experience in Litera, Westlaw, LexisNexis, iManage, eDocs, GEMS, Backshop, Boardvantage, Salesforce, Intralinks is a plus.
  • Commissioned Notary Public preferred or willingness and ability to obtain commission.
