About the Role:

We are seeking an experienced and strategic Assistant General Counsel to join our Legal team, providing legal support and guidance to our clearing agency businesses. This role will play a critical part in ensuring legal and regulatory compliance while supporting business initiatives, contract management, and interactions with regulatory bodies such as the Securities and Exchange Commission (SEC).

You ll serve as a key legal advisor to senior leadership and work cross-functionally with teams in Compliance, Product, Sales, and Finance.

Key Responsibilities:

  • Serve as U.S. legal counsel to senior leadership within the clearing agency and post-trade services space.
  • Provide legal and regulatory guidance on the development and launch of new products and business initiatives.
  • Draft, review, and negotiate a broad range of commercial agreements and internal legal documents.
  • Support SEC communications, audits, and examinations.
  • Conduct legal risk assessments and proactively mitigate potential legal exposures.
  • Collaborate closely with internal stakeholders and external counsel on various legal and business issues.
  • Contribute to contract process improvements, standardization, and policy development.
  • Handle other corporate legal matters as assigned.

Required Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the New York or New Jersey Bar.
  • 7+ years of legal experience, including at least 4 years with a premier law firm, financial services firm, or financial regulator.
  • Demonstrated expertise in securities law, financial regulation, clearing agencies, or post-trade financial services.
  • In-depth understanding of SEC regulations and experience with regulatory audits or examinations.
  • Proven ability to draft and negotiate complex commercial agreements and develop legal strategies.
  • Strong collaboration and communication skills, with experience supporting cross-functional teams.
  • Comfortable working in a fast-paced, highly regulated environment with limited supervision.

Preferred Skills:

  • Familiarity with risk mitigation strategies, corporate law, and contract automation processes.
  • Experience in post-trade processing, market infrastructure, or financial technology platforms.
