About the Role:

We are seeking an accomplished and results-oriented IT M&A Program Manager to strategically

lead and execute the complex IT aspects of mergers, acquisitions, and divestitures specifically

within the software product landscape. This pivotal role will own the entire IT deal lifecycle, from

rigorous due diligence of target company technology stacks and development processes

through meticulous integration planning and execution, culminating in successful go-live and

ongoing optimization within our software ecosystem. The ideal candidate will possess a deep

understanding of software development life cycles, cloud-native environments, data integration

challenges unique to software products, and the ability to effectively partner with product and

engineering teams to unlock deal value.

Responsibilities:

Software & Technology Due Diligence: Lead in-depth IT due diligence focused on the

target company's software architecture, tech stack, development practices, intellectual

property, cloud infrastructure, data models, technical debt, security practices, and reliance

on third-party libraries and services. Identify technical risks, integration complexities,

potential synergies, and impact on product roadmaps.

Integration Strategy & Planning: Develop and articulate the IT integration strategy

specifically tailored for software product companies, aligning with product strategies and

overall business objectives. Create comprehensive integration plans encompassing code

merges, platform consolidation, data migration and harmonization, API integration, cloud

environment merging, developer toolchain integration, and security protocol alignment.

Define clear timelines, budgets, resource needs, and interdependencies with product

development cycles.

Creating and Maintaining IT M&A Runbook: Develop, maintain, and continuously refine

a specialized IT M&A runbook focused on best practices, technical procedures,

integration patterns, and templates for IT due diligence and integration within a software

product development context.

Execution & Implementation: Drive the execution of complex IT integration plans,

coordinating internal IT, engineering, and product teams, as well as external vendors.

Manage the technical integration of software platforms, migration of code repositories,

consolidation of development and testing environments, and the integration of customer

data while ensuring data integrity and security.

Stakeholder Management: Act as the key liaison between IT, Product Management,

Engineering, Corporate Development, and other business functions throughout the M&A

process. Communicate technical integration progress, risks, and decisions clearly and

effectively to both technical and non-technical stakeholders, including executive

leadership.

Technical Risk Management: Proactively identify, assess, and mitigate technical risks

associated with integrating disparate software systems, architectures, and development

practices. Develop strategies to address technical debt and ensure the stability and

scalability of the combined technology landscape.

Budget & Resource Management: Manage the IT integration budget, track technical

expenditures, and ensure appropriate allocation of technical resources (including

developer time) to achieve integration objectives without negatively impacting product

velocity.

Go-Live & Transition: Plan and manage the technical go-live activities, ensuring a

smooth and minimally disruptive transition for both internal teams and end customers of

the software products.

Post-Merger Optimization: Collaborate with engineering and product teams on

post-merger technical optimization, including rationalization of tech stacks, identification of

opportunities for shared services, and continuous improvement of development and

operational processes.

Process Improvement: Contribute to the continuous improvement of IT M&A processes

and the specialized runbook based on lessons learned from software product integrations.

Team Leadership: Provide matrixed leadership and technical guidance to integration

teams comprising IT professionals, software engineers, and QA specialists, fostering a

collaborative and efficient integration environment.

Qualifications:

Bachelor's degree in Computer Science, Software Engineering, Information Technology,

or a related technical field.

Extensive experience (typically 8+ years) in technical program management within a

software development environment, with significant experience in M&A integration of

software companies or products.

Deep technical understanding of software architecture, cloud computing (AWS, Azure,

Google Cloud Platform, etc.), various programming languages and frameworks, databases, APIs, and

modern development practices (Agile, DevOps).

Proven experience leading IT due diligence and integration efforts specifically for software

companies, including code reviews, intellectual property assessments, and data migration

strategies for complex datasets.

Demonstrated ability to manage complex technical programs with interdependencies

across engineering and product roadmaps.

Strong technical risk assessment and mitigation skills.

Excellent communication skills, with the ability to translate complex technical concepts for

non-technical audiences and effectively negotiate technical approaches.

Experience working closely with product management and software engineering teams.

Familiarity with intellectual property considerations in software M&A.

Ability to thrive in a fast-paced, ambiguous, and dynamic environment.

Preferred Skills:

Advanced degree in a technical field or MBA.

Program Management certification (e.g., PgMP, PMP) with a focus on technical programs.

Experience with specific software integration patterns and tools.

Knowledge of cybersecurity best practices and data privacy regulations relevant to

software products.
