ClearanceJobs client, a government contractor, is looking to hire a Contracts Manager on a full-time, permanent basis. This position is highly remote, but travelling to the company headquarters in Wixom, MI will be required for occasional training and/or meetings.
Due to potential future requirement for this resource to hold a security clearance, United States Citizenship with ability obtain and maintain a security clearance is required.
Summary: Responsible for managing government and commercial contracts for a DOD Contractor. Working closely with the management team and outside counsel (as needed), this position oversees contracts management and regulatory compliance for a federal defense contractor.
Responsibilities:
Contracts Management
- Review purchase order terms and conditions in line with company proposals, business objectives and legal risk management.
- Discuss areas of contract risk with inside teams including sales, shipping and executive team.
- Acknowledge and accept purchase orders.
- Input and manage new and existing projects and orders into company ERP System.
- Negotiate, manage and sign various agreements, in consultation with CEO/other business units as required, including purchase, sale and service agreements, non-disclosure agreements, license agreements, agent agreements, teaming and partnership agreements.
- Provide accurate recordkeeping for contracts and agreements.
- Provide updates to Finance and other business units regarding requirements for agent fee and royalty payments, based on agreement terms.
- Manage existing and apply for new letters of credit, performance bonds, advance payment guarantees, as may be required.
- In collaboration with Program Management and Purchasing departments, ensure compliance with small business subcontracting requirements under the Federal Acquisition Regulation.
- File individual and summary subcontracting reports and maintain recordkeeping to support DCMA audits.
Compliance (handled together with other members of the team)
- As the Export Compliance Officer, manage the company s export compliance program and provide training and guidance to various business units on export control implementation and data access management.
- Perform customer and other required third-party screening to ensure the company maintains lawful business relationships as per US regulations.
- Perform export and import classifications of products and submit commodity jurisdiction requests to US export licensing agencies, as may be required.
- Apply for and maintain the required export licenses for all export-controlled projects and activities.
- Maintain the company s annual Department of Defense Trade Controls registration, and any other required registrations.
Audits and Training
- Perform annual audits of and company-wide training on various compliance programs.
- Assist other teams with any Dispute Resolution items
Registrations
- Ensure state-level statutory registers are kept up-to-date with required annual corporate filings for valid business registration and good standing.
- Maintain annual supplier representations and certifications required for doing business with customers.
- Manage and apply for personnel clearances, ensure completion and submission of DD254 forms, ensure make any required change condition reports.
Required:
- Government contracting experience and knowledge of the FAR and DFARS.
- Export compliance experience and knowledge of the EAR, ITAR and OFAC regulations and trade sanctions.
- United States Citizenship with ability to obtain ad maintain a security clearance.
- Experience advising senior management on complex legal issues.
- Strong analytical skills and demonstrated ability to understand complex legal concepts and analysis and translate those to non-lawyers to create practical processes, guidance and training.
- Strong project management skills with attention to detail and accuracy.
- Administratively self-sufficient with demonstrated skill with Outlook, Word, Excel and PowerPoint.
