Job DetailsWe are seeking a Senior Manager, Technical Accounting & SEC Reporting to serve as the company's subject matter expert for U.S. GAAP, SEC reporting, accounting policy, and complex accounting transactions.
This individual will lead technical accounting research and conclusions, oversee the preparation and review of SEC filings, and advise senior leadership on significant and non-routine transactions.
The ideal candidate brings deep public-company accounting experience along with a strong understanding of debt and equity structures and the related accounting implications, including convertible debt, equity issuances, stock-based compensation, and other capital markets transactions.
Responsibilities
- Serve as the company's primary technical accounting resource for U.S. GAAP
- Research complex and non-routine accounting matters and prepare technical accounting memoranda
- Lead preparation and review of Forms 10-K, 10-Q, 8-K, Proxy Statements, registration statements, and other SEC filings
- Prepare and review financial statement footnotes and disclosures
- Coordinate disclosure checklists, tie-outs, and XBRL support
- Monitor new FASB and SEC guidance and lead implementation of new accounting standards
- Maintain and update accounting policies
- Provide technical accounting guidance for complex debt and equity structures
- Support accounting for convertible debt, equity issuances, stock-based compensation, and other financing transactions
- Provide accounting guidance related to acquisitions, divestitures, leases, derivatives, and strategic transactions
- Support purchase accounting and business combinations
- Review revenue recognition conclusions under ASC 606
- Support M&A and capital markets activity
- Serve as a key technical liaison with external auditors
- Support quarterly reviews and annual PCAOB audits
- Partner with Internal Controls on SOX 302/404 compliance
- Collaborate with Treasury, Legal, Tax, FP&A, Investor Relations, and executive leadership
- Lead and mentor the Senior Technical Accountant & SEC Reporting
Qualifications
- Active CPA license required
- Bachelor's degree in Accounting required; Master's preferred
- 8-12+ years of progressive accounting experience
- Minimum 5 years of SEC-reporting public-company experience
- Extensive experience preparing and reviewing Forms 10-K and 10-Q
- Deep knowledge of U.S. GAAP, SEC regulations, Regulation S-X, and Regulation S-K
- Strong technical accounting research and memo-writing experience
- Strong understanding of debt and equity structures and related accounting treatment
- Experience with complex financing and capital markets transactions
- Experience with convertible debt, equity issuances, and stock-based compensation
- Experience with PCAOB audits and SOX 302/404
- Big Four public accounting experience strongly preferred
- Experience with SEC comment letters preferred
- M&A and purchase accounting experience preferred
- NetSuite, Workiva, BlackLine, or similar systems experience preferred
