Director of M&A - Enterprise IT
We are seeking a Director of Mergers & Acquisitions (M&A) - Enterprise IT to lead the technology strategy, diligence, and integration efforts that enable successful acquisitions and divestitures across the enterprise. This leadership role is critical in ensuring that IT considerations are embedded throughout the M&A lifecycle-from target evaluation and deal execution through post-merger integration and value realization.
As Director, you will set the IT M&A vision, lead cross-functional integration teams, and partner closely with Corporate Development, Finance, Legal, Security, and business leaders to assess risk, capture synergies, and accelerate integration. Your work will directly impact deal velocity, operational continuity, and the realization of strategic and financial objectives.
Key Responsibilities
IT M&A Strategy & Leadership
Define and execute the enterprise IT M&A strategy, including technology due diligence, integration planning, and separation execution aligned to corporate growth objectives.
Technology Due Diligence
Lead end-to-end IT due diligence for acquisitions and divestitures, assessing application portfolios, infrastructure, cloud environments, cybersecurity posture, data privacy, technical debt, and scalability risks.
Post-Merger Integration (PMI)
Oversee IT integration planning and execution, including systems consolidation, identity and access management, data migration, network integration, and end-user enablement, ensuring minimal disruption to business operations.
Value Creation & Synergies
Identify and quantify IT-driven synergies and cost optimization opportunities, including platform rationalization, vendor consolidation, and operating model alignment.
Cross-Functional Partnership
Serve as the primary IT liaison to Corporate Development and executive leadership, providing clear, actionable insights to inform deal decisions, timelines, and integration roadmaps.
Governance & Execution
Establish M&A IT governance models, integration playbooks, and standardized processes to enable repeatable, scalable execution across multiple concurrent deals.
Vendor & Contract Management
Evaluate and manage technology vendors and contracts during M&A activity, supporting renegotiations, transitions, and terminations as needed to support integration goals.
Risk, Security & Compliance
Partner with Security, Privacy, and Compliance teams to identify and mitigate technology risks, ensuring regulatory, contractual, and security requirements are met throughout the transaction lifecycle.
Change & Stakeholder Management
Lead organizational change across acquired entities, driving alignment, communication, and adoption of enterprise standards, tools, and operating models.
Team Leadership
Build, mentor, and lead a high-performing IT M&A and integration team, fostering accountability, execution excellence, and continuous improvement.
Qualifications
Bachelor's degree in Information Technology, Computer Science, Business, or a related field (Master's degree preferred).
10+ years of progressive IT experience, including 5+ years in senior leadership roles supporting M&A, enterprise integrations, or large-scale technology transformations.
Demonstrated experience leading IT due diligence and post-merger integrations for complex, multi-system environments.
Strong understanding of enterprise architecture, cloud platforms, cybersecurity, infrastructure, and application landscapes.
Proven ability to influence executive stakeholders and communicate complex technical risks and tradeoffs in a business-centric manner.
Experience operating in fast-paced, deal-driven environments with multiple parallel initiatives.
Preferred Qualifications
Experience partnering directly with Corporate Development, Private Equity, or Strategy teams on acquisitions and divestitures.
Familiarity with carve-outs, separations, and Transitional Services Agreements (TSAs).
Strong financial acumen, including cost modeling, synergy tracking, and integration budgeting.
Experience developing repeatable M&A IT playbooks, integration frameworks, and operating models.
