Job DetailsWe are seeking a mid-level associate to join our Executive Compensation and Employee Benefits practice. This position is suited for an attorney with 2-5 years of experience at a sophisticated law firm who is looking to deepen their work in complex compensation arrangements and transaction-driven advisory matters. The role offers exposure to both standalone executive compensation counseling and the benefits aspects of significant corporate transactions.
Responsibilities
- Draft and negotiate employment agreements, equity incentive arrangements, deferred compensation plans, and severance packages
- Advise on change-in-control provisions and executive separation matters
- Support private and public company transactions, including mergers, acquisitions, IPOs, and other liquidity events
- Counsel clients on compliance with applicable tax and regulatory frameworks
- Work closely with corporate, tax, and private equity teams on transaction-related compensation issues
- Interact directly with company leadership, investors, and senior executives
Qualifications
- 2-5 years of experience at a major law firm
- Strong background in executive compensation and employee benefits matters
- Experience representing public and private companies, emerging companies, private equity sponsors, and senior executives
- Familiarity with Sections 409A, 280G, and 83(b) of the Internal Revenue Code
Requirements
- Excellent academic credentials
- Admission to the New York or New Jersey bar
- Strong drafting, analytical, and communication skills
- Ability to manage multiple workstreams in a fast-paced transactional environment
