Job Details

Job Duties
  • Handle business entity formations and ongoing corporate governance matters
  • Draft, review, and negotiate purchase and sale agreements
  • Prepare and negotiate commercial agreements, operating agreements, and client contracts
  • Advise clients on transactional risk, contract strategy, and general business matters
  • Assist with mergers, acquisitions, and other corporate transactions as needed
  • Manage matters from intake through execution while maintaining strong client communication
  • Collaborate with attorneys and support staff on sophisticated business transactions

Job Requirements
  • J.D. from an accredited law school and active California Bar membership
  • 3-5+ years of transactional, corporate, or business law experience preferred
  • Experience handling corporate formations, commercial contracts, and transactional agreements
  • Strong drafting, negotiation, and analytical skills
  • Ability to independently manage multiple matters in a fast-paced environment
  • Client-focused mindset with strong communication and organizational abilities
  • Experience with Clio, Microsoft Office, Google Workspace, or similar legal technology platforms preferred
