Job Details- Advise startups and emerging companies on formation, equity structure, and corporate governance
- Lead venture financings across Series A, B, and beyond - SAFEs, convertible notes, and priced equity rounds
- Draft and negotiate equity compensation plans including stock options, restricted stock, RSUs, and 409A compliance
- Counsel clients on federal and state securities law compliance including Regulation D and Rule 144
- Drive M&A, acqui-hire transactions, and exit strategies from term sheet through close
- Advise on commercial contracts, software licenses, SaaS agreements, and IP transactions
- Represent angel investors and VC funds in financing transactions
- Form investment funds and special purpose entities
- Manage cap tables and lead clients through due diligence processes
Looking For:
- Washington State Bar admission
- Minimum 3 years of transactional experience with startups, emerging companies, or venture capital
- Exposure to venture financings - SAFEs, convertible notes, Series A/B, or priced equity rounds
- Familiarity with equity compensation structures - stock options, RSUs, restricted stock, or 409A
- Working knowledge of federal and state securities law compliance
Strong Plus:
- Series A/B lead experience with direct client management
- Regulation D, Rule 144, or state Blue Sky law compliance
- Option plan design and cap table management
- Fund formation or special purpose entity work
- SaaS agreements, software licensing, or IP transactions
- Angel investor or VC fund representation
