About the Role
Tech Mahindra''s Technology Strategy practice is looking for a Manager to anchor our IT M&A and Divestitures consulting offering. This person will lead client engagements spanning technology due diligence, carve-out and separation planning, Transition Services Agreement (TSA) drafting and management, and end to-end program management of M&A and divestiture (M&A/D) technology execution. The role is both delivery-focused and business-development-oriented, supporting the growth of TechM''s deal-advisory pipeline across key verticals, with a strong preference for candidates bringing Energy and Utilities domain depth.
Key Responsibilities
• Lead technology due diligence workstreams for buy-side and sell-side transactions, assessing application portfolios, infrastructure, cybersecurity posture, IT cost structures, and integration/separation complexity, and translating findings into clear risk and value narratives for deal teams.
• Draft, negotiate, and operationalize Transition Services Agreements (TSAs), including service catalogs, exit criteria, cost true-ups, and governance mechanisms, working closely with legal, finance, and client IT leadership.
• Program manage IT carve-out and integration execution end-to-end, covering application and data separation/migration, infrastructure stand-up or decommissioning, identity and access separation, vendor/contract Day 1 readiness, and cutover planning.
• Develop Day 1/Day 100/exit roadmaps and TSA exit plans, tracking dependencies, risks, and milestones across cross-functional workstreams (applications, infrastructure, security, data, vendor management).
• Build M&A/D technology readiness assessments and other door-opener methodologies to support proactive business development with corporate development, deal advisory, and client IT executives.
• Support pursuit and proposal activity: shape points of view, build pitch and credential materials, and contribute to RFP responses targeting M&A integration and divestiture opportunities.
• Act as a trusted advisor to client CIOs, IT separation/integration leads, and deal teams, translating technical complexity into business-relevant decisions.
• Mentor and direct the work of junior consultants and analysts staffed on engagements, ensuring quality and timeliness of deliverables. Required Qualifications
• 8–10+ years of relevant experience in technology consulting, corporate IT, or deal advisory, with a meaningful portion focused specifically on IT M&A, divestitures, or carve-out execution.
• Hands-on experience drafting and negotiating TSAs, including service-level definitions, exit terms, and cost allocation frameworks.
• Demonstrated experience program managing M&A or divestiture technology execution, including separation/integration planning, cutover, and Day 1 readiness.
• Direct experience running or contributing significantly to technology due diligence exercises (application rationalization, infrastructure assessment, cost benchmarking, risk identification).
• Strong client-facing skills, with the ability to communicate confidently with CIOs, deal teams, and corporate development executives.
• Solid understanding of enterprise IT landscapes: applications, infrastructure, cybersecurity, data, and vendor ecosystems.
• Bachelor''s degree required; MBA or equivalent advanced degree preferred.
• Willingness to travel to client sites as engagement needs require.
Preferred Qualifications
• Prior experience within Energy and Utilities, either as a consultant serving the sector or in an internal IT/M&A integration role at an Energy or Utilities company.
• Experience with separation/integration toolsets and methodologies (e.g., TIME/6Rs application disposition frameworks, enterprise architecture tools such as LeanIX, or similar).
• Exposure to regulatory and operational considerations specific to Energy and Utilities M&A (e.g., FERC/state regulatory filings, OT/SCADA environment separation, grid operations continuity).
• Prior experience at a Big 4 firm, management consultancy, or IT services firm in a similar M&A/D technology advisory capacity.
• PMP, Prosci, or similar program management/change management certification.
