As a Senior Technology Counsel, you'll play a critical role in serving as a strategic legal advisor supporting Nasdaq's partnerships, technology initiatives, and innovation ecosystem. You'll lead complex legal matters at the intersection of technology, financial services, and emerging regulatory frameworks.

Key Responsibilities - Lead complex technology transactions including cloud services agreements, SaaS contracts, and AI licensing arrangements to drive measurable business outcomes with optimal risk allocation.
- Support and implement AI governance frameworks, ensuring compliance with emerging AI regulations across the enterprise.
- Negotiate and structure technology partnerships and strategic alliances, managing legal frameworks that protect intellectual property and mitigate enterprise risk.
- Advise on financial technology initiatives including fintech partnerships, digital asset strategies, regulatory technology implementations, and broker-dealer compliance where applicable.
- Partner with cross-functional teams including Information Security, Product, Technology, Compliance, Risk, and Business Units to deliver strategic legal solutions that enable innovation while managing risk.
- Support private investment activities including due diligence for early-stage technology investments, term sheet negotiations, and portfolio company legal oversight.
- Draft, review, and negotiate complex agreements with major vendors for critical technology services, ensuring appropriate contractual protections and regulatory compliance.
Required Qualifications - Juris Doctor from an accredited law school and admission to practice law in Pennsylvania, District of Columbia, or ability to obtain admission promptly.
- 7+ years of post-law school experience in technology law, with demonstrated expertise in technology transactions.
- Strong ability to draft and negotiate complex cloud computing agreements, software licenses, and technology services contracts.
- Strong understanding of AI governance principles and emerging AI regulatory frameworks.
- Clear communicator with experience providing actionable legal advice to senior executives and technical teams in collaborative, matrixed environments.
Other Helpful Qualifications - Experience with private equity or venture capital transactions, particularly in technology or financial services sectors.
- Background in financial services with familiarity with broker-dealer compliance frameworks.
- Familiarity with emerging technologies including blockchain, cryptocurrency, quantum computing, or advanced data analytics platforms.
- Experience with contract lifecycle management (CLM) systems and legal technology tools.
- Previous in-house counsel experience at a technology company, financial services firm, or regulated entity.
This position will be located in Philadelphia, Pennsylvania or Washington, D.C. and offers the opportunity for a hybrid work environment at least 3 days a week in-office, subject to change, providing flexibility and accessibility for qualified candidates.
