We are working with a successful, well-established law firm in NYC that focuses primarily on financial and corporate practice areas! They are currently seeking a Mid-Level Corporate Attorney to join the team!

Location: New York, NY (Financial District area)
Base Salary: $310k-$365k/year based on experience level

Job Details

The Mid-Level Associate will draft credit agreements and amendments to loan facilities for secured lending transactions.

Responsibilities:
  • Preparing security documentation, intercreditor agreements, exhibits and ancillary documentation for loan transactions
  • Reviewing commitment, fee and engagement letters, and acquisition agreements, and conducting diligence processes for committed financings
  • Preparing dealer manager, consent solicitation agent and similar agreements for tender offers and other liability management transactions
  • Preparing and reviewing legal opinions, certificates and other ancillary documentation for debt financings including secretary's certificates, officer's certificates, incumbencies, borrowing notices and solvency certificates
  • Conducting and managing due diligence ("comfort" and "backup") processes and reporting on findings to clients
  • Reviewing borrowers' existing credit facilities and debt instruments for refinancing and preparing and reviewing relevant payoff documents
  • Researching and interpreting securities law, Universal Commercial Code, the General Corporation Law of the State of Delaware, the Limited Liability Company Act of the State of Delaware, and the New York Limited Liability Company Law.

Requirements:
  • 2+ years of experience drafting purchase agreements, indentures, security documents, and closing certificates for high-yield note offerings
  • Must be admitted to practice law in the state of New York
