Location: New York, NY (Financial District area)
Base Salary: $390k-$435k/year based on experience level

Job DetailsThe ideal candidate will have 2+ years of experience with:
- Advising public companies, private companies, and private equity firms in domestic and cross-border transactions including public and private M&As, joint ventures, carve-outs, and other general corporate matters
- Drafting and negotiating term sheets, non-disclosure agreements, main transaction documents, and ancillary agreements in various mergers, acquisitions, and divesture transactions on both acquirer and target sides
- Drafting proxy statements, registration statements, and SEC filings in connection with initial public offerings, De-SPAC transactions, and SEC filings including 10-Ks, 10-Qs and 8-Ks for public companies
- Advising clients on business transactions including securities law compliance, directorial duties, and exchange listing requirements
- Identifying and solving complex legal issues in the area of mergers, acquisitions, initial public offerings, SPACs public and private financings, or spin-offs
- Drafting legal documents including primary and ancillary transaction documents; reviewing legal documents including organizational documents, shareholder agreements, voting agreements, and material contracts
- Preparing due diligence reports including coordinating with specialists on respective sections and drafting corporate diligence documents
- Reviewing due diligence documents, including tracked supplemental requests, and reporting on diligence findings
