Timeline: Initial 4-Month Contract (to develop a detailed plan while executing near-term activities).
Follow-on assignment to assist with completing the plan execution may be possible.
Role Overview
We are seeking an elite IT Business Application Carve-out Project Manager to lead the mission-
critical separation of a $100M revenue business unit from a Global 100 parent. This is not a
"maintenance" role; it is a high-speed, high-complexity decoupling and "greenfield" build-out of a
standalone enterprise application stack.
Your initial objective is to lead the organization in developing a detailed plan for the full lifecycle of
ERP implementation across six international sites. The focus will be replacing Oracle Financials
within a compressed 9 12 month timeline while re-building integration with certain legacy applications
that will initially remain in place. Additional ERP operational capabilities will be implemented in year
two. You will own the transition plan from a highly integrated Oracle Financials environment to a right-
sized, independent solution that meets the functional, legal, and regulatory needs of a global $100M
entity.
Key Responsibilities
ERP Strategy & Execution: Lead the end-to-end selection and implementation of a new ERP
including financial and operational modules. You will define the future-state architecture that
replaces the ParentCo s Oracle instance and locally hosted operational applications.
Global Regulatory Compliance: Ensure the new application stack satisfies complex
international reporting and tax requirements, including local statutory reporting in Belgium,
Italy, India, China, and Singapore (e.g., Electronic Invoicing, GST, and Golden Tax
requirements).
Engineering & Ops Continuity: Oversee the planning to "lift and shift" of locally hosted
engineering and manufacturing applications. You must ensure zero downtime for the
production floor during the server migration and decoupling phases.
TSA Negotiation & Exit: Manage the Transition Service Agreement (TSA) lifecycle. You will
track service levels from the ParentCo while aggressively driving the project milestones.
Vendor & Partner Management: Drive the RFP process for both software vendors and their
respective implementation partners.
Cross-Functional HR Alignment: Maintain close coordination with the HR workstream to
ensure the business application roadmap aligns with the cutover to a standalone ADP
instance.
Project Governance Requirements
The successful candidate must operate with a "proven M&A playbook." You are expected to bring and
implement rigorous governance standards. Your experience must include:
Integrated Master Schedule: Maintaining a time-phased, resource-loaded plan that accounts
for international holidays, fiscal year-ends, and technical dependencies.
Executive Presence: Presenting at Steering Committee meetings and providing high-fidelity
reporting to C-suite stakeholders.
Aggressive Risk Management: Maintaining a dynamic Risk/Issue/Concern log with clear
mitigation paths for cross-border data privacy and technical bottlenecks.
Strict Change Control: Managing scope creep to ensure the timeline remains inviolable.
Technical & Soft Skills
Technical Authority: Deep experience in ERP migrations (e.g., Epicor Kinetic, Infor
CloudSuite, Microsoft Dynamics) from a ParentCo environment.
International Navigation: Proven ability to manage teams and vendors across EMEA and
APAC time zones.
Extreme Ownership: A "commander" mindset you do not wait for instructions; you identify
the path to Go-Live and drive the organization toward it.
M&A Fluency: You must speak the language of "Deal Close," "Go Live Readiness," and
"Phase Two Optimization."
Candidate Submission Requirements
To be considered for this role, you must provide the following artifacts as evidence of your M&A
playbook:
1. Current Professional Resume.
2. References: At least two from prior M&A/Carve-out engagements.
3. Sample Governance Portfolio:
o Sample Time-Phased, Resource-Loaded Project Plan: Demonstrating a 9-month
carve-out lifecycle.
o Steering Committee Minutes: Example of how you communicate progress and
roadblocks to the C-suite.
o Project Status Report: A standard weekly report showing health, milestones, and
KPIs.
o Risk / Issue / Concern Log: Demonstrating proactive risk mitigation and issue
resolution.
o Change Management Controls: Evidence of how you manage scope creep in a
volatile environment.
o ERP RFP Template: Used for ERP application vendor selection.
