Job Details

We are seeking a mid-level associate to join our corporate and business law practice with a focus on finance transactions. In this role, you will work closely with experienced attorneys and clients on a wide range of sophisticated lending and financing matters across multiple industries.

You will have the opportunity to take on meaningful responsibility early, contribute directly to deal execution, and build strong client relationships in a collaborative, team-oriented environment.

Responsibilities

Represent lenders, financial institutions, borrowers, and developers in complex financing transactions
Draft, review, and negotiate a variety of financing documents, including credit agreements, loan documents, and related instruments
Support transactions involving asset-based lending, commercial real estate finance, corporate finance, and specialized financing structures
Assist with affordable housing and renewable energy financing matters
Handle ancillary agreements such as participation agreements, intercreditor agreements, and subordination arrangements
Work closely with internal teams and external stakeholders to manage deal flow and closing processes
Conduct due diligence and identify/resolve transaction-related risks

Qualifications

3+ years of experience in commercial finance, corporate finance, or real estate finance transactions
Experience representing lenders, borrowers, or developers in structured financing deals
Familiarity with loan and credit documentation and related financing agreements
Exposure to asset-based lending, commercial real estate, or similar financing structures
Strong analytical, drafting, and negotiation skills
Ability to manage multiple transactions and deadlines effectively

Requirements

Admission to at least one U.S. state bar
Ability to obtain admission in Massachusetts within 6-12 months (if not already admitted)
Excellent written and verbal communication skills
Strong attention to detail and sound professional judgment
Self-starter mindset with the ability to work both independently and collaboratively
